SEC Activision fine overview: 

  • Who: Activision Blizzard has agreed to a $35 million fine lobbied at the video game maker by the U.S. Securities and Exchange Commission (SEC). 
  • Why: Activision is accused of violating the SEC’s whistleblower protection rules and failing to have a system in place to keep a record of employees’ company misconduct complaints. 
  • Where: Activision makes video games played by consumers nationwide. 

Activision Blizzard Inc. has agreed to pay a $35 million fine to resolve claims by the U.S. Securities and Exchange Commission (SEC) that the video game maker violated its whistleblower protection rules, among other things.

Activision was accused by the SEC of requiring former employees — from 2016 to 2021 — to sign disclosure agreements promising they would let the company know if an agency similar to the SEC reached out to them during an investigation. 

“Between 2016 and 2021, in the ordinary course of Activision Blizzard’s business, a significant number of departing employees signed separation agreements that contained this notification clause,” the SEC said. 

The SEC argued Activision violated the agency’s whistleblower protection rule — Exchange Act Rule 21F-17(a) — by requiring its outgoing employees to sign the agreements.

The whistleblower rule, the SEC said, prohibits any person from “taking any action to impede an individual from communicating directly with the Commission staff about a possible securities law violation.”

The SEC also accused Activision of failing to keep a record of its employees’ complaints about company misconduct, which the agency argues could have made the company aware of material issues requiring public disclosure. 

“The company lacked controls and procedures designed to ensure that information related to employee complaints of workplace misconduct would be communicated to Activision Blizzard’s disclosure personnel to allow for timely assessment on its disclosures,” the SEC said. 

Activision has not admitted to or denied the allegations against it by agreeing to pay the SEC fine. It has also promised not to commit any alleged violations of Exchange Act rules again in the future.

In December, the Federal Trade Commission attempted to block a proposed $69 billion merger between Activision and Microsoft over concerns it could hurt competition for the gaming market.

    Me han robado el juego de call of duty mobile de Activision más de 600 dolares. Alguien hiso compras desde mi cuenta de PayPal y cuando intente jugar el juego corría lento y con mal funcionamiento me bajaban si moverme y me percaté que tenia armas que no compre y luego vi las facturas de PayPal. Ellos no responden a las denuncias en el juego y me amenazaron con borrar mi cuenta

    I need a whistleblower attorney! I was evicted after I tried to turn in unsanitary conditions at a hospital that gave me h. Pyloric bacterial infection, they put my service dog in the shelter and hospitalized me till they had hauled off my RV and the only place that I had to live with all my possessions in it.
